By-Laws
Article I
Section I: The name of Corral #20 - Equestrian Trails, Inc. shall be: Shadow Hills Roughriders Corral 20.
Article II
Section I: These By-laws do not supersede the By-laws now in effect for Equestrian Trails, Inc., the parent organization.
Article III
Section I: The purpose of the Corral is hereby set forth:
- Preservation and acquisition of riding and hiking trails.
- Promotion of better horsemanship.
- Support legislation that will benefit equestrians in general.
- Sponsor dances, horseshows, playdays, trail rides and any other suitable activities.
Article IV
Dues
Section I: Dues shall be in accordance to structure outlined by Equestrian Trails, Inc.
Section II: Members in good standing shall be entitled to all the privileges and benefits of this Corral as set forth in these By-laws.
Section III: Any member may be dismissed for misconduct or abuse of horses. The accused must receive a written notice stating in detail the charges against him, and be given the right to be heard before the Board of Directors, with Counsel if necessary, before any action to dismiss is taken.
Article V
Corral Meetings
Section I: There shall be one General Meeting each month of the year. Date, time, and place of meeting to be approved by the membership. Cancellation of General Meeting will be left to the discretion of the Board. Board of Director and Special meetings may be called at the discretion of the President.
Section II: A quorum of 10 Senior Members shall be necessary to conduct a regular General business meeting of the Corral.
- Senior Members are those members 18 years of age and over.
- Junior Members are those members under 18 years of age.
Section III: A quorum for a board meeting shall be a majority of the Board.
Article VI
Officers
Section I: The officers of this Corral shall be: President, Vice President, Secretary and Treasurer. Officers shall be elected by the vote of the membership.
Section II: The President, Vice President, Area Delegate and Alternate Area Delegate, elected by the membership, may represent this Corral at the meetings of the parent organization.
Section III: All Officers must be a member in good standing.
Article VII
Duties of Officers
Section I: The President shall be the Chief Executive Officer of this Corral and shall have general supervision, direction and control of the business and the officers of this Corral. The President shall sign all papers, contracts and documents required by the corral that are proper and necessary to carry on the business of the Corral. All powers and duties imposed by these By-laws shall be exercised by the President. He shall preside at all General and Board meetings.
Section II: In the absence or inability of the President to act, the Vice President is vested with all powers and shall perform all the duties of the President. The Vice President shall act as a host to all visiting dignitaries and guests.
Section III: Secretary - It shall be the duty of the Secretary to attend all meetings, record all votes and keep a permanent record of all minutes. If unable to attend any meeting it is the responsibility of the Secretary to notify the President and provide a suitable alternate. Archives of all minutes and correspondences shall be passed on to their successor.
Section IV: Treasurer - It shall be the duty of the Treasurer to receive all moneys belonging to the Corral. The Treasurer shall retain all checks and warrants, keep an account of receipts and expenditures and provide monthly reports at the General meeting. The Treasurer shall pay over and deliver all moneys, books and records to his successor.
Article VIII
Elections
Section I: Nominations shall be made in September and October and closed at the October monthly meeting. The membership shall be notified in writing of all nominations prior to November election. Consent of each nominee shall be obtained prior to nomination. Elections shall take place during the month of November. All voting members must be present. Newly elected officers will take office January 1st and serve through December 31st.
Section II: Any member of the Board being absent three consecutive General or Board meetings without just cause as determined by the Board of Directors may have his office declared vacant.
Section III: A vacancy in an elective office shall be filled by Presidential appointment with approval of the Board of Directors.
Section IV: No member shall hold more than one elective office at the same time.
Section V: Voting age of Corral membership shall be 18 years.
Section VI: Nominees for elected positions shall be members in good standing.
Article IX
Appointments
Section I: Upon taking office the President may appoint the following: Scribe, Historian, Newsletter, Marshall, Audit Committee, Corresponding Secretary, Membership Chairperson, and any other chairperson deemed necessary.
Section II: Marshall - It shall be the duty of the Marshall to have direct custody of all Corral property and to be responsible for the preservation and care of same. He shall maintain law and order in all Corral meetings and activities.
Section III: Audit Committee - It shall be the duty of the Audit committee to audit the books quarterly and report thereon at the next regular meeting of the Corral.
Section IV: Membership Chairperson - It shall be the duty of the membership chairperson to have charge of all matters pertaining to membership of the Corral, including to procuring of new members, and the reinstatement and eligibility of members.
Section V: Corresponding Secretary - It shall be the duty of the Corresponding Secretary to handle all Corral correspondence.
Article X
Administration
Section I: The administration of the Corral shall be entrusted to a Board of Directors, their decisions being subject to approval by the membership.
Section II: The Board of Directors shall consist of 14 members - President, Vice President, Immediate Past President, Secretary, Treasurer, Area Delegate, Alternate Area Delegate, Trail Coordinator, Event Coordinator, Clinic/Lecturer Coordinator, Junior Coordinator and three elected Board Members.
Section III: The Area Delegate: It shall be the duty of the Area Delegate to attend all Area 7 meetings and represent the Corral at such meetings. The Area Delegate shall provide reports at the Corral's General meetings. The Area Delegate may represent the Corral at meetings of the parent organization and local organizations.
Section IV: Alternate Delegate - It shall be the duty of the Alternate Area Delegate to assume all of the above duties in the absence of the Area Delegate.
Section V: Trial Coordinator - It shall be the duty of the Trial Coordinator to supervise the scheduling and planning of all Corral rides and assist the Trail Boss of such rides as needed. The Trail Coordinator shall ensure that the trail boss for each ride submits all ads, articles and reports. The Trail Coordinator shall retain all signed insurance liabilities waivers.
Section VI: Event Coordinator - It shall be the duty of the Event Coordinator to supervise the scheduling and planning of all Corral events and fund-raisers, such as Harvest Moon dance, playdays, trails trials, etc., and assist the chairperson of such events as needed. The Event Coordinator shall retain all signed insurance waivers from such events.
Section VII: Clinic/Guest Speaker Coordinator - It shall be the duty of the Clinic/Guest Speaker Coordinator to supervise the scheduling and planning of all clinics and guest speaker sponsored by the Corral and to assist the person in charge of such activities as needed.
Section VIII: Junior Coordinator - It shall be the duty of the Junior Coordinator to plan and supervise all the activities of the Junior members of the Corral.
Section IX: The Board of Directors shall transact all necessary business between meetings and such other business as may be referred by the members.
Section X: As needed the Board may conduct a vote by direct contact, telephone or E-Mail. A reasonable effort must be made to contact each and every Board member. Documentation of motion and results must be submitted to Secretary and recorded.
Article XI
Limitations and Liabilities
Section I: Under no circumstance shall any Corral officer, member of any committee or member of this Corral contract or incur any obligation for this Corral without first having secured written authorization from the Board of Directors.
Section II: Discretionary Funds - The President and the Chairperson of Corral events are entitled to use up to a specified amount of Corral funds for Corral business at there own discretion without prior approval.
- The President's limits are set at $50.00 per purchase with a maximum of $150.00 per year.
- The event limits are set at $50.00 for small events and $100.00 for large events.
- The set amounts can be increased by Board approval.
Section III: This Corral shall not incur or cause to be incurred any obligation that might subject to liability any other Corral, subdivision, group or member of Equestrian Trails, Inc., other individuals, corporations or organizations.
Article XII
Activity Limitations
Section I: Abuse of alcohol or drugs shall not be tolerated at any Corral activities.
Article XIII
Amendments
Section I: These By-laws may be amended at any regular Corral meeting by a vote of two-thirds of the members present and voting, provided that the proposed amendment(s) shall have been submitted in writing and read at the previous regular meeting and provided that written notice shall have been given to all members at least ten (10) days in advance of the date when such amendment(s) is to be voted on.
Article XIV
Rules of Order
Section I: Robert's Rules of Order shall govern the conduct of all meetings, except as may be provided in these By-laws.
